ARTICLES OF ASSOCIATION
KOOTENAI COUNTY REAGAN REPUBLICANS
ARTICLE I. NAME
The name of this unincorporated Association is the KOOTENAI COUNTY REAGAN REPUBLICANS.
ARTICLE II. PURPOSES
This association is an unincorporated nonprofit social welfare public benefit association and is not organized for the private gain of any person. It is organized under the IDAHO UNIFORM UNINCORPORATED NONPROFIT ASSOCIATION ACT for public purposes.
This association is organized and operated exclusively for social welfare purposes within the meaning of United States IRC 501 (c) (4).
The general purposes of this association are:
1) To promote civic activism and participation in the political and electoral process. 2) To encourage good citizenship and actively study and monitor issues of public concern, investigate and evaluatepublic officials and candidates for public office. 3) To stand for the policies and ideals of the Republicanism and encourage active participation in the Republican Party. 4) To train and educate our members and community activists in the art of politics and public service to ensure active participants in the public arena.
ARTICLE III. LOCATIONS
The principal office of the Association for the transaction of its business is located in Kootenai County in the State of Idaho.

ARTICLE IV. GOVERNING BODY
The powers of the Association shall be exercised, its property controlled, and its affairs conducted by a Board of Directors.
The qualifications, time and manner of electing, terms of office, duties and compensation, if any, and the manner of removing Directors and filling vacancies shall be as set forth in the Bylaws of this Association.
ARTICLE V. MEMBERSHIP
The qualifications of members of the Association, the different classes of membership, if any, the voting and other rights and privileges of members, liability for dues and assessments and the method of collection, and the termination and transfer of membership shall be as stated in the Bylaws.
ARTICLE VI. FINANCES AND ASSETS
This Association shall be dissolved upon 30 days written notice to the membership only by the written vote of at least two-thirds (2/3) or more of its Board of Directors.
Upon the dissolution or winding up of the association, its assets remaining after payment or provision of payment shall be distributed to the Kootenai County Republican Central Committee.
ARTICLE VII. ARTICLES AND BYLAWS
The original or a copy of these Articles as amended shall be maintained by an officer of the Association, and shall be open to inspection by all members upon reasonable notice.
These Articles shall be amended only by resolution duly adopted by two-thirds (2/3) of a quorum of the Board of Directors.
The Board of Directors of this Association shall have the power to adopt Bylaws and other policies necessary for the governance of this Association that are in accordance with these Articles.
Adopted the 27th day of March, 2010 in Coeur d’Alene, Idaho, by the Board of Directors of the Kootenai County Reagan Republicans.
Amended the 14th day of March, 2011 in Coeur d’Alene, Idaho, by the Board of Directors of the Kootenai County Reagan Republicans.
